Vendor & Agent Agreement

1. Parties & acceptance

This Vendor & Agent Agreement ("Agreement") is between Keyakash Technologies Private Limited, operating the Graciax / Tour Bazaar platform ("Platform", "we"), and the registered agent, agency or provider accepting it ("you", "Agent"). By electronically signing this Agreement you confirm you are authorised to bind your business and agree to be legally bound by these terms.

2. Lead credits & payments are non-refundable

• Lead credits are prepaid. Money paid to purchase or top up credits is NON-REFUNDABLE and cannot be exchanged for cash, except for failed or duplicate charges as set out in our Refund Policy.
• Credits have no monetary value outside the Platform, are non-transferable, and expire/are forfeited on suspension or termination for breach.
• The lead buy-back facility is full-or-nothing: a 100% refund of the lead's price, as wallet credits only (never cash), is issued solely where — after verification with the traveller — the traveller was not picking up calls, the lead was fake or invalid, or the traveller denied travelling. Buy-back requests must be raised within 48 hours of purchase.
• No refund applies once you have shared pricing or a quotation with the traveller — from that point the lead is considered worked. There are no partial (including 50%) refunds under any circumstances.
• Lead prices are shown before purchase; you are responsible for the credits spent from your wallet, including any auto-buy rules you enable.

3. Professional conduct with clients

• You shall communicate with every traveller (client) politely, professionally and honestly at all times.
• Rudeness, abuse, harassment, threats, discrimination, spam or any misbehaviour or misconduct towards a client or our team will result in suspension or termination of your account.
• You shall contact clients only for their genuine enquiry and only through reasonable, lawful means.

4. Account security & non-transferability

• Your account is personal to your business and non-transferable. You are responsible for keeping your credentials secure and for all activity under your account.
• Allowing any other person or business to use your account to buy or work leads is prohibited and will result in suspension or termination of your account.
• You must notify us immediately of any unauthorised access.

5. Anti-fraud

Any attempt to defraud a client — including misrepresentation, fake or non-existent bookings, collecting payment without delivering the service, impersonation, or diverting a client through deceit — is strictly prohibited.

• Fraud against a client will result in immediate suspension or termination of your account;
• you will be legally liable to compensate and pay damages to the affected client; and
• we may report the matter to the relevant authorities and share your verified business, GST and communication records to assist the client and the authorities.

6. Client data & confidentiality

• Traveller contact details and enquiry information are shared with you solely to service that enquiry.
• You shall not sell, rent, redistribute, spam or misuse client data, and shall comply with the Digital Personal Data Protection Act, 2023 and applicable laws.
• You shall delete or stop using a client's data on request or once the enquiry is closed, and keep it secure against unauthorised access.

7. Accurate representation & no circumvention

• You shall represent your services, prices, inclusions and credentials truthfully and honour the quotes you give.
• You shall not circumvent the Platform's fees or systems, scrape data, or manipulate listings, leads or reviews.

8. Your content & responsibility

All content you post or submit to the Platform — listings, itineraries, prices, photos, descriptions, blogs, promotional material and anything else — is your sole responsibility. You confirm you own or are licensed to use it and that it is accurate, lawful and does not infringe any third party's rights.

• The Platform acts as an intermediary and is not liable for content posted by you; any claim arising from your content is between you and the claimant, and the indemnity in this Agreement applies to such claims.
• If your content is reported as unlawful, infringing or misleading, the Platform is not responsible for it — but we will assist in its removal, may take the content down, and will cooperate with lawful requests from authorities.
• Repeated or serious content violations can lead to suspension or termination of your account.

9. Compliance with law

You shall comply with all applicable laws including GST and tax obligations, the Consumer Protection Act and e-commerce rules, and all travel, visa and safety regulations relevant to the services you provide.

10. Suspension & termination

We may suspend or terminate your account, with or without notice, for any breach of this Agreement or our Terms & Conditions. On termination for breach, unused credits are forfeited and no money is refunded. Suspension does not relieve you of liabilities already incurred (including to clients).

11. Indemnity & limitation of liability

You agree to indemnify and hold harmless Keyakash Technologies Private Limited, its officers and partners from any claim, loss, damage or expense arising from your conduct, your services, your content, your breach of this Agreement, or your dealings with a client. The Platform acts only as an intermediary connecting travellers with verified operators and agents and is not a party to, or liable for, the services you provide.

12. Amendments

We may update this Agreement from time to time. When the version changes you may be required to review and re-sign it to continue buying or working leads. Continued use after a change constitutes acceptance.

13. Governing law & jurisdiction

This Agreement is governed by the laws of India and is subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.

14. Electronic acceptance

You agree that signing this Agreement electronically — by typing your full legal name and submitting it — together with the recorded timestamp and IP address, constitutes a valid, binding electronic signature under the Information Technology Act, 2000, with the same effect as a handwritten signature.
